illumine.earth Ecosystem Community Agreement & Terms of Participation

Welcome to the illumine.earth Ecosystem. This agreement outlines our shared values, expectations, and legal terms, ensuring we co‑create a trusted, confidential, and catalytic space for all members.

Our Commitment to Each Other

Confidentiality & Trust

We operate under Chatham House rules: what is shared here stays here, fostering candid, open dialogue. Members agree not to disclose or share other members’

stories, strategies, or sensitive information outside the community, except where information is already public or disclosure is required by law.

Respect & Professionalism

Treat all members with respect and kindness. Member preferences and boundaries, as stated in profiles or communications, are to be honored at all times.

Inclusivity & Accessibility

Support a diverse, welcoming, and intergenerational environment. We welcome diversity and strive for intergenerational, cross‑sector inclusion. If you have specific needs, please let us know so we can support your participation.

Authentic Engagement

Participate thoughtfully and constructively to support meaningful collaboration. You get out what you put in. Show up generously, ask for what you need, and contribute where you can.

Relationship‑Centered Sharing (No Solicitation / No Spam)

This is a relationship‑driven space, not a cold‑pitch environment. Members are welcome to build relationships and, where it is relevant and welcome, to share their work, services, or opportunities.

You agree to:

1. Not engage in pitching, selling, spammy outreach, or unsolicited promotion.

2. Not send bulk, unsolicited, or repeated sales messages to members.

3. Not add members to email lists or marketing funnels without their explicit consent.

4. Honor a clear “no” or non‑response and avoid pressure, guilt, or persistent follow‑up. Repeated violations (up to three) may result in membership being revoked with no refund, at the discretion of Illumine Earth LLC.

Abundance

Contribute insight, support, and resources generously and without extraction. This is a space for generosity and collaboration, not transactions.

Impactful Collaboration

Should collaborations arise, due diligence, compliance, and outcomes are each participant’s own responsibility and not that of Illumine Earth LLC. You are solely responsible for your own decisions and any collaborations or agreements you enter into with other members, and Illumine Earth LLC is not liable for member‑to‑member interactions or outcomes.

Competition Law & Antitrust Compliance

You agree to abide by applicable competition and antitrust laws. Illumine Earth LLC is not liable for any breach. If we observe risk, we may pause or end conversations and seek advice as needed.

Data Privacy & Security

Your information is managed per our Privacy Policy. Where we use third‑party platforms and processors, such as Circle for community hosting and Stripe for payments, their terms and policies also apply, and they are responsible for their own security practices.

We do not sell or rent member contact lists or personal data to third parties. Use of member contact information for sales or marketing outside the boundaries of this agreement is prohibited.

Intellectual Property & Use of Materials

Community‑Shared Content (Your IP)

Content you share remains yours. By posting, you grant other members permission to reference or discuss your contributions inside the community only. No one may reproduce or distribute your content externally without your written consent.

Illumine Earth Materials (Our IP)

All content, trainings, tools, templates, documents, recordings, and other resources provided through the illumine.earth Ecosystem are the intellectual property of Illumine Earth LLC or its licensors, unless expressly stated otherwise. You receive a personal, limited, non‑transferable license to use these materials solely for your own professional development and internal business purposes.

You may not copy, distribute, share, or make Illumine Earth materials available to any non‑member or third party (including clients, teams, or external communities) without prior written consent from Illumine Earth LLC, except where specific sharing rights are clearly granted for a particular resource. Where materials are explicitly marked as shareable, those specific sharing terms will apply and will supersede this section for that material only.

Member Responsibilities

By joining, you agree to:

1. Uphold confidentiality and trust at all times.

2. Engage respectfully and constructively.

3. Refrain from spam solicitation, cold pitching, or direct sales behavior that conflicts with the standards above.

4. Support a positive, collaborative, and inclusive environment.

5. Take full responsibility for your own decisions and any collaborations or agreements with other members.

6. Report any concerns or breaches to karimah@illumine.earth.

7. Use other members’ contact information only in ways that are consistent with this agreement and with our Privacy Policy, and never sell, rent, or transfer member lists to third parties.

Membership, Payment & Access

Membership Fees & Renewal

Membership in the illumine.earth Ecosystem is subject to payment of the then‑current membership fees for the applicable tier, as described on our website or in your enrollment materials. Memberships renew at the then‑current posted rate and billing frequency for your tier, and fees, payment schedules, and benefits may be updated from time to time in our discretion, with changes applying on a going‑forward basis and communicated in advance.

Complimentary or bundled access may be provided for certain Illumine Earth programs or clients, as described in the relevant program materials, and will remain in effect for so long as you continue to meet the eligibility criteria for that access.

For small‑room offerings such as the Ignite (Tier 2) Enterprise Leadership Circle, members agree to treat attendance as a priority so the room remains sharp, trusted, and useful for all participants. As a guideline, we expect you to attend at least 80% of scheduled circle sessions across your membership term.

For Spark (Tier 3) members, the one‑to‑one strategic advisory component is framed as up to 12 hours of individual time across a 12‑month period. Unused hours do not roll over or carry forward beyond the end of your membership term and are forfeited at that point.

No Refunds

Unless expressly stated otherwise in your enrollment terms, all payments are final and non‑refundable. We strongly encourage you to review the tier description and, if

you have any questions or would like to discuss whether the Ecosystem is the right fit for you, to contact us at karimah@illumine.earth before you confirm your enrollment.

Payment Processing

Payments are handled securely via third‑party processors (such as Stripe), whose terms and policies apply. Illumine Earth LLC does not store payment data and is not responsible for payment platform security, disruption, or breaches.

Account & Membership Terms

Account Removal & Termination

Illumine Earth LLC retains the right to suspend or terminate your membership and community access at any time, with or without notice, for conduct that violates this agreement or is otherwise disruptive or inconsistent with our values or legal obligations. No refunds will be provided upon removal or termination for non‑compliance with this agreement.

Ownership of Access

Membership and community access are privileges, not rights, granted at the discretion of Illumine Earth LLC. We reserve exclusive authority to manage, revoke, or reinstate membership as necessary to protect the community’s integrity, safety, or legal obligations.

Content Ownership Upon Termination

You retain ownership of contributions you created, but your ability to post, edit, or access content may be revoked if your account is suspended or terminated, subject to any technical or platform limitations.

Results and Effort

The illumine.earth Ecosystem is designed to support meaningful growth in your leadership, enterprise influence, and industry impact. Your results will depend on many factors, including your own decisions, effort, participation, and organisational context. We cannot and do not guarantee specific outcomes.

No Guarantees / No Professional Advice

All community content and Illumine Earth materials are provided for educational and informational purposes only. They do not constitute legal, financial, tax, HR, or other professional advice and do not guarantee specific business, financial, or career outcomes. You remain solely responsible for your own decisions and for seeking independent professional advice where appropriate.

No Warranty

Illumine Earth provides the community and resources “as is,” without warranties of any kind, whether express or implied, including any implied warranties ofmerchantability, fitness for a particular purpose, or non‑infringement.

Disclaimer of Liability

Illumine Earth LLC is not a party to, and bears no liability for, any agreements, collaborations, damages, or disputes that arise between members. All actions and decisions are at members’ own risk.

Limitation of Liability

To the fullest extent permitted by law, Illumine Earth LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your participation in the community, even if advised of the possibility of such damages.

Indemnification

By participating, you agree to indemnify and hold harmless Illumine Earth LLC, its officers, and affiliates from any claims, demands, liabilities, or damages arising from your actions, communications, or content posted in the community.

Right to Amend / Updates to Terms

Illumine Earth LLC may modify, update, or amend this agreement at any time. We will provide notice of material changes, and your continued participation in the community after such notice means you accept the updated terms.

Governing Law and Jurisdiction

This agreement is governed by the laws of the District of Columbia, United States of America, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this agreement or your participation in the illumine.earth Ecosystem will be subject to the exclusive jurisdiction of the state and federal courts located in the District of Columbia.

Entire Agreement

This Community Agreement & Terms of Participation, together with our Privacy Policy and any tier‑specific enrollment terms, constitutes the entire agreement governing your participation in the illumine.earth Ecosystem and supersedes any prior understandings related to this subject.

Agreement Acceptance

By applying for membership, submitting payment, accepting complimentary access,or participating in the illumine.earth Ecosystem, you agree to abide by this agreement, help uphold a trusted, flourishing space, and accept all legal terms above.
